Terms and Conditions

⚠️ IMPORTANT: These Terms and Conditions contain mandatory binding provisions, including a 12-month minimum commitment requirement and specific fees for account transfers. Please read these terms carefully before subscribing to ASENSO.

1. Acceptance of Terms

By accessing, creating an account, or using the ASENSO platform (the "Platform") and services (the "Services"), you represent that you have read, understood, and agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree to these Terms, you may not use the Platform or Services.

ASENSO Inc. and its affiliates (collectively "ASENSO," "we," "us," or "our") reserves the right to modify these Terms at any time. Changes become effective immediately upon posting. Your continued use of the Platform following any changes constitutes your acceptance of the new Terms.

2. Use of the Platform

2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract to use the Platform. By accepting these Terms, you represent that you meet these requirements.

2.2 Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. You agree to notify ASENSO immediately of any unauthorized access or use of your account.

2.3 Intended Use

The Platform is intended for lawful business purposes only. You agree to use the Platform in compliance with all applicable laws and regulations. You are solely responsible for your use of the Platform and the content you create or upload.

3. Feature Usage and Limits

ASENSO provides an all-in-one business platform with the following core features included in all subscription plans:

3.1 Usage Restrictions

While most features are unlimited, ASENSO reserves the right to implement reasonable usage limits to prevent abuse or system overload. Excessive usage that impacts system performance may result in throttling or temporary suspension of service.

3.2 Additional Features and Charges

Certain advanced features and services may incur additional charges beyond your subscription fee, including but not limited to:

* SMS messaging (per message)

* Phone call services (per minute)

* Advanced API usage (beyond 100,000 calls/month)

* Additional storage (beyond 100 GB)

* Premium integrations and add-ons

These charges will be clearly disclosed and added to your invoice.

4. Pricing and Billing

4.1 Subscription Fees

Your subscription fee is based on the plan you select:

Monthly Plan: $97 USD per month (billed monthly)

Annual Plan: $970 USD per year (billed annually, equivalent to $80.83/month)

4.2 Billing Cycle

Subscriptions renew automatically on the same day each month or year, depending on your selected billing cycle. You will receive an invoice prior to each renewal.

4.3 Payment Methods

We accept all major credit cards (Visa, Mastercard, American Express) and PayPal. Payments are processed securely through Stripe.

4.4 Taxes

You are responsible for all applicable taxes. If applicable, sales tax, VAT, or GST will be added to your invoice.

5. 12-Month Commitment and Early Exit Fee

⚠️IMPORTANT: 12-MONTH MINIMUM COMMITMENT:

By subscribing to ASENSO, you agree to a minimum 12-month commitment period. This is a binding obligation.

5.1 Minimum Commitment Period

All ASENSO subscriptions include a mandatory 12-month minimum commitment period from the date of your initial subscription. This commitment applies to all subscription plans (Monthly, Annual, and Launch Special).

5.2 Early Exit Fee

If you cancel your subscription before the completion of the 12-month commitment period, you agree to pay a non-refundable early exit fee of $500 USD.

This fee is calculated as follows:

Early cancellation within months 1-3: $500 fee applies

Early cancellation within months 4-6: $500 fee applies

Early cancellation within months 7-9: $500 fee applies

Early cancellation within months 10-12: $500 fee applies

After 12 months: No early exit fee; cancel anytime

5.3 Payment of Early Exit Fee

The early exit fee must be paid in full before your account is terminated. ASENSO will invoice you for this fee, and payment must be received within 7 days of the invoice date. Failure to pay the early exit fee may result in collection action and damage to your credit.

5.4 Exceptions to Early Exit Fee

The early exit fee will be waived only in the following circumstances:

ASENSO materially breaches these Terms and fails to cure within 30 days of written notice

ASENSO discontinues the Platform or Services

Your business is forced to close due to circumstances beyond your control (with documentation)

6. Agency Transfer Policy

AGENCY TRANSFER FEE: If you transfer your ASENSO account to another agency or reseller, a $500 USD transfer fee applies. This is a separate fee from any early exit fees.

6.1 Definition of Agency Transfer

An "Agency Transfer" occurs when you transfer ownership, control, or management of your ASENSO account to another business entity, agency, reseller, or individual. This includes:

Selling your account to another agency

Transferring account ownership to a partner or reseller

Assigning your account to a white-label partner

Transferring the account as part of a business sale or merger

Granting another entity management control of your account

6.2 Agency Transfer Fee

Any agency transfer requires payment of a non-refundable $500 USD transfer fee. This fee is in addition to any other fees or charges that may apply.

6.3 Transfer Process

To transfer your account to another agency or entity:

Notify ASENSO in writing of your intent to transfer the account

Provide the name and contact information of the receiving entity

Pay the $500 transfer fee

The receiving entity must accept these Terms and Conditions

ASENSO will process the account transfer within 5 business days of fee payment

6.4 New 12-Month Commitment

Upon account transfer to another entity, a new 12-month commitment period begins for the receiving entity. The receiving entity is bound by all terms of this agreement, including the early exit fee policy.

6.5 Prohibited Transfers

ASENSO reserves the right to refuse any account transfer to:

Direct competitors of ASENSO

Entities in violation of these Terms

Entities with a history of non-payment or breach

Entities operating in jurisdictions where ASENSO does not operate

7. Account Ownership and Transfers

7.1 Account Ownership

The individual or business entity that creates the account and accepts these Terms is the owner of the account. Account ownership cannot be transferred without written consent from ASENSO and payment of applicable transfer fees.

7.2 Sub-Accounts

If you create sub-accounts for your customers or clients, you remain responsible for all activity on those sub-accounts. You must ensure that all sub-account users accept terms at least as restrictive as these Terms.

8. Prohibited Uses

You agree not to use the Platform for any of the following purposes:

Sending spam, unsolicited emails, or SMS messages

Violating CAN-SPAM, GDPR, CCPA, or other anti-spam laws

Phishing, fraud, or deceptive practices

Harassment, threats, or abusive behavior

Illegal activities or content

Malware, viruses, or code designed to harm systems

Reverse engineering or attempting to access source code

Reselling the Platform without authorization

Competing with ASENSO

Any use that violates applicable laws or regulations

9. Data and Privacy

9.1 Data Ownership

You own all data you upload to the Platform. ASENSO does not claim ownership of your data.

9.2 Data Protection

You are responsible for protecting your customers' data and complying with all applicable privacy laws, including GDPR, CCPA, and other regulations. You must obtain proper consent from your customers before collecting and processing their data.

9.3 Data Retention

Upon account termination, your data will be retained for 30 days. After 30 days, all data will be permanently deleted. You are responsible for backing up any data you wish to retain.

9.4 ASENSO Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. ASENSO DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Damages

IN NO EVENT SHALL ASENSO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Maximum Liability

ASENSO'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

11.1 Termination by You

You may terminate your account at any time by providing written notice to ASENSO. However, if you terminate before the completion of the 12-month commitment period, the $500 early exit fee will apply.

11.2 Termination by ASENSO

ASENSO may terminate your account immediately if:

You violate these Terms

You engage in illegal activities

You fail to pay your subscription fees

Your account is used for spam or abuse

ASENSO determines, in its sole discretion, that your use poses a risk to the Platform or other users

11.3 Effect of Termination

Upon termination, your access to the Platform will be immediately revoked. Your data will be retained for 30 days and then permanently deleted.
